Subscription and Payment Terms

Ordering, free trial, prices, payment, invoicing, automatic renewal, plan changes, cancellation and refunds for Fidkeep subscriptions.

These Subscription and Payment Terms (the "Subscription Terms") set out the commercial and financial conditions for accessing the Fidkeep service through a paid subscription or a free trial, and constitute the terms of the service sales contract concluded electronically.

The Subscription Terms form an integral part of the Terms of Service. Matters not covered here are governed by the Terms of Service. If the two documents conflict on fees, payment, invoicing, renewal, cancellation or refunds, these Subscription Terms prevail. This English version is provided for convenience; the Turkish version prevails in case of conflict.

1. Parties

Buyer (Customer)

The Customer is the business that places the order and whose trade name or name, tax identification number and address appear on the order screen or in the account's billing details. The Customer may be a merchant or tradesperson, a legal entity or a public institution. The individual placing the order on the Customer's behalf represents that they are authorised to represent the Customer and to bind it to these Subscription Terms. The Customer's notice address is the account owner e-mail address registered in the account.

2. Definitions

  • Service: the web-based software service Fidkeep provides on fidkeep.com and its subdomains, including collecting Google Business Profile reviews in one inbox, AI-assisted reply drafts, review topic and sentiment analysis, smart rules, publishing replies, team and location permissions, and reporting.
  • Account: the workspace the Customer creates to access the Service, together with the user accounts linked to it.
  • Plan: each subscription package defined on the Pricing Page and the Order Screen.
  • Add-on: the extra location and extra daily AI reply packages purchased in addition to a Plan.
  • Billing Period: the monthly or yearly payment period of the subscription.
  • Order Screen: the in-app screen and payment page on which the Customer sees the Plan, Billing Period, Add-ons and fees and confirms the order.
  • Pricing Page: the current plan and price information published at https://fidkeep.com/en/pricing/.

3. Subject and formation of the contract

The subject of these Subscription Terms is the electronic provision of the Service within the Plan and Add-ons selected by the Customer, and the fee payable in return together with the conditions for payment, invoicing, renewal, cancellation and refunds.

The contract is concluded electronically through the following technical steps:

  1. The Customer creates an account or signs in at https://auth.fidkeep.com.
  2. The Customer selects a Plan, a Billing Period (monthly or yearly) and any Add-ons.
  3. On the Order Screen the Customer sees the Plan scope, the price excluding VAT, the applicable VAT, the Billing Period and the renewal terms; enters its billing details; and corrects any input errors before confirming.
  4. The Customer accepts these Subscription Terms and the Terms of Service electronically and confirms the order.
  5. Card details are entered on iyzico's secure payment form and the payment is authorised by iyzico.

The contract is formed when the order is confirmed and the payment is authorised by iyzico. For a free trial, the contract is formed when the trial is started. Fidkeep confirms receipt of the order without delay by an electronic notice sent to the account e-mail address.

The contract language is Turkish. The current version of the Subscription Terms is published at fidkeep.com/legal/subscription-terms/. Fidkeep keeps the version accepted at the time of the order and the order records, and sends a copy to the Customer on request via [email protected]. The rules on processing personal data are set out in the Privacy Policy and the KVKK Privacy Notice.

If the Customer and Fidkeep have signed a separate written agreement, in particular for public institutions or the Enterprise plan, the signed agreement prevails on the matters where they conflict.

4. Business customer declaration

The Service is sold only to businesses acting for commercial or professional purposes. It is not sold to consumers.

  • The Customer declares that, at the time of the order and throughout the subscription, it acquires and uses the Service within the scope of its commercial or professional activity.
  • Because the relationship between the parties is not a consumer transaction, Law No. 6502 on Consumer Protection and the Distance Contracts Regulation do not apply. Accordingly, the right of withdrawal (cayma hakkı), the pre-contractual information form and the consumer rules on distance sales contracts do not apply to this sale.
  • The relationship between the parties is governed by the Turkish Code of Obligations No. 6098, the Turkish Commercial Code No. 6102 and Law No. 6563 on the Regulation of Electronic Commerce.
  • If the declaration proves to be untrue, Fidkeep may terminate the contract with immediate effect. The Customer is responsible for the consequences of an untrue declaration.

5. Plans, scope and usage limits

The features and limits of each Plan are shown on the Pricing Page and the Order Screen. The scope shown on the Order Screen at the time of the order is binding for the relevant Billing Period. The main limits that vary by Plan are:

  • the number of active locations that can be added to the Service;
  • the daily allowance of AI reply drafts;
  • the daily reply publishing limit per location;
  • the total number of team members (seats) across the account;
  • the number of smart rules that can be active at the same time;
  • the support level (priority support on certain Plans).

The daily AI reply allowance renews every day. Unused daily allowance does not carry over to later days and is not refunded or credited. When a limit is reached, the relevant function is unavailable until the limit renews, an Add-on is purchased or the Plan is upgraded. Usage is measured according to Fidkeep's service records.

Team members: The team member limit applies as a total across the account, not per location. Seats are deducted from the Plan of the administrator who sends the invitation, and team members across all of the account's locations are counted together; for example, on a Plan that includes 3 team members, 3 team members in total can be invited for two branches, not 3 per branch. Pending invitations that have not yet been accepted also use a seat; cancelling an invitation or removing a member frees the seat. The account owner is not counted as a team member; on Plans that include no team members (Basic on the effective date of these Subscription Terms), the Service is used by the account owner only.

Smart rules: The Plan limit refers to the number of smart rules active at the same time; on the effective date of these Subscription Terms, up to 3 rules can be active at the same time on the Basic plan, 10 on the Pro plan and 25 on the Business plan, with no limit on the Scale and Enterprise plans. When the limit is reached, an existing rule can be paused in order to activate another.

Reply publishing on the Scale plan: On the Scale plan, reply publishing is unlimited on Fidkeep's side. If the account owner sets a daily publishing limit per location under Settings > “Plan allocation”, that limit applies. Unlimited publishing does not mean unlimited AI reply drafts; the daily allowance of AI reply drafts remains limited separately on the Scale plan as well (150 per day on the effective date of these Subscription Terms). The quotas and rate limits of the Google Business Profile API also apply; these limits are outside Fidkeep's control.

Limits on the Enterprise plan: The price of the Enterprise plan and its limits for locations, AI reply drafts, reply publishing, team members and smart rules are set in the written agreement signed between the Customer and Fidkeep. The provision on separate agreements in Section 3 applies to these matters.

Support is provided by e-mail. On Plans that include priority support, requests are handled with priority. Unless otherwise agreed in writing, no specific response time or service level is committed.

The Service currently supports only Google Maps / Google Business Profile reviews. The future addition of other platforms is not promised as part of an existing subscription. The Scale and Enterprise plans are ordered by contacting Fidkeep.

6. Add-ons

  • The extra location and +10 daily AI reply Add-ons can be added to any Plan. Their current prices are shown on the Pricing Page.
  • Add-ons are billed monthly, even if the Plan's Billing Period is yearly. The first charge and the renewal date are shown on the Order Screen.
  • An Add-on is activated immediately once the payment is authorised and renews automatically every month until cancelled.
  • An Add-on can be cancelled at any time. The cancellation takes effect at the end of the Add-on's current monthly period. No refund is made for partially used periods.
  • When a Plan ends, the Add-ons attached to it end on the same date.

7. Free trial

  • The Basic, Pro and Business plans can be tried free of charge for 7 days. No free trial is offered for the Scale and Enterprise plans.
  • Each business may use the free trial only once. More than one trial may not be started for the same business through different accounts, e-mail addresses or users. If this rule is breached, Fidkeep may end the trial or make further use of the Service conditional on moving to a paid Plan.
  • Unless the trial screen states otherwise, the features and limits of the selected Plan as shown on the Pricing Page apply during the trial.
  • No fee is charged during the trial.
  • If the trial ends without an active paid subscription, smart rules stop sending e-mails.

If a payment method was collected at the start of the trial

When the trial ends, the fee for the first Billing Period of the selected Plan is charged automatically to the stored card and the subscription starts on that date. If the Customer cancels before the trial ends, in the billing settings in the app or by writing to [email protected], no fee is charged.

If no payment method was collected at the start of the trial

No fee is charged when the trial ends, and the account is restricted until the Customer starts a paid Plan.

8. Prices and taxes

  • All prices are in Turkish lira (TRY) and exclude VAT (KDV). VAT is added at the applicable rate and shown separately on the Order Screen and the invoice.
  • For a yearly Billing Period, the fee is ten times the monthly price.
  • The price applicable to an order is the price shown on the Order Screen at the time of the order.
  • Any fees or charges the card issuer applies to the Customer are borne by the Customer.
  • If a price is displayed incorrectly because of an obvious technical error, Fidkeep may cancel the order. In that case the full amount charged is refunded.

9. Payment

  • Payments are taken by credit or debit card through İyzi Ödeme ve Elektronik Para Hizmetleri A.Ş. ("iyzico"), licensed by the Central Bank of the Republic of Türkiye.
  • Card details are entered directly on iyzico's secure payment form. 3D Secure authentication is applied where required by the card issuer or iyzico.
  • Fidkeep never sees or stores the full card number or the security code (CVV). For recurring payments, the card is stored by iyzico in its own PCI-DSS-compliant infrastructure (tokenisation). Fidkeep keeps only the card token, the last four digits, the card brand and the expiry date as returned by iyzico.
  • The Customer authorises the charging of renewal fees, Add-on fees and upgrade differences to the stored card through iyzico.
  • The Customer ensures that the card used is authorised for use on its behalf and has sufficient credit, and updates card details in the billing settings in the app.
  • iyzico is an independent data controller for its obligations under payment services law. iyzico's payment form may use cookies governed by iyzico's own policies; see the Cookie Policy and Subprocessors pages.
  • Before disputing a charge, the Customer contacts Fidkeep at [email protected]. If a chargeback is raised with the bank for an amount that was duly charged, Fidkeep may restrict the account until the dispute is resolved.

10. Invoicing

  • Invoices are issued electronically based on the Customer's billing details: an e-Fatura if the Customer is registered for e-Fatura, otherwise an e-Arşiv Fatura. Invoices are issued within the periods required by the applicable legislation and delivered electronically.
  • The Customer is responsible for ensuring that its trade name or name, tax office, tax identification number (Turkish ID number for sole proprietorships) and address are accurate, complete and current. Changes must be made before the next charge.
  • Fidkeep is not responsible for invoices issued on the basis of incorrect or incomplete information provided by the Customer. Issued invoices can be corrected only to the extent permitted by Tax Procedure Law No. 213 and the e-Fatura/e-Arşiv legislation.
  • Invoice, payment and accounting records are kept for 10 years under Article 82 of Turkish Commercial Code No. 6102 and Article 253 of Tax Procedure Law No. 213.

11. Automatic renewal

  • The subscription renews automatically for the same period (monthly or yearly) until cancelled. The first Billing Period starts on the date the payment is authorised or, for trials where a payment method was collected, on the date the trial ends.
  • The renewal fee is charged to the stored card on the renewal date. Subject to Section 14, the price applied is the price in effect on the renewal date.
  • To prevent a renewal, the cancellation must be made before the renewal date. A cancellation made after the renewal fee has been charged takes effect at the end of the renewed period, and no refund is made for the renewed period.

12. Upgrades and downgrades

  • A plan change can be requested in the billing settings in the app or by writing to [email protected].
  • Upgrade: takes effect immediately. The price difference between the new and the current Plan is calculated pro rata for the remainder of the current Billing Period and charged immediately. Subsequent renewals are charged at the new Plan's price.
  • Downgrade: takes effect on the next renewal date. The current Plan and its limits remain in place until then. No refund or credit is given because of a downgrade.
  • After a downgrade, the Customer must reduce locations and team members that exceed the new Plan's limits before the new period starts. As the team member limit applies across the account, the reduction is made taking into account team members across all locations and pending invitations together. Otherwise Fidkeep may restrict access for the locations and team members that exceed the limits.
  • When a downgrade takes effect, the most recently created rules above the new Plan's active smart rule limit are paused; the rules are not deleted. The Customer can switch other rules off and re-activate paused rules within the new Plan's limit.

13. Late payment and suspension

  • If a charge fails, Fidkeep notifies the Customer at the account e-mail address and retries the charge through iyzico. The Customer must update its card details without delay.
  • If payment is not made within a 7-day grace period from the due date, Fidkeep may restrict the account in whole or in part.
  • If payment is not made within 30 days of the due date, Fidkeep may terminate the contract. Section 17 then applies.
  • A restriction does not remove the payment obligation. Access is restored once the unpaid amount is collected.
  • Fidkeep's other statutory rights are reserved.

14. Price changes

  • Changes to Plan and Add-on prices are notified to the account e-mail address at least 30 days before they take effect.
  • New prices apply from the first renewal date after their effective date. Within a paid yearly Billing Period, the Plan price does not change.
  • A Customer that does not accept the new price may cancel its subscription before the renewal date. A subscription that is not cancelled renews at the new price.

15. Performance and delivery of the Service

  • The Service is provided entirely electronically. There is no physical delivery or shipping.
  • Access is activated on the Customer's account immediately after the order and payment are confirmed. For a free trial, access opens when the trial is started.
  • The Service is accessed on fidkeep.com subdomains after signing in at https://auth.fidkeep.com. Syncing reviews and publishing replies require the Customer to authorise access to its Google Business Profile account. Restrictions resulting from not granting or revoking that authorisation do not mean the Service has been performed incompletely.
  • If access is not activated despite payment, the Customer notifies [email protected]. If access cannot be provided for a reason attributable to Fidkeep, the amount charged is refunded in full as an erroneous charge.

16. Cancellation and refunds

Details are set out in the Cancellation and Refund Policy; in summary:

  • A subscription can be cancelled in the billing settings in the app or by writing to [email protected] from the account e-mail address.
  • For monthly and yearly subscriptions, cancellation takes effect at the end of the current Billing Period. The Service can be used until then and no fee is charged for the next period.
  • No refund or pro-rata credit is given for the unused part of a period, unused AI reply allowance or Add-ons.
  • Duplicate or erroneous charges are refunded in full. If Fidkeep terminates the Service for a reason not attributable to the Customer or permanently discontinues the Service, the unused part of the prepaid fee is refunded pro rata. The same applies if the Customer terminates the affected service after objecting to a new subprocessor under the Data Processing Agreement.
  • Refunds are made through iyzico to the card used for the payment. The time it takes for the amount to appear depends on the card issuer.

17. Termination and its consequences

  • The Customer may end the contract as of the end of the period by cancelling the subscription under Section 16. A request by the Customer to close the account mid-period does not give rise to a refund.
  • Fidkeep may terminate the contract in accordance with the Terms of Service in the event of a material breach of the Terms of Service, unlawful use, a serious security risk or late payment under Section 13. On termination attributable to the Customer, no refund is made and fees that have fallen due remain payable.
  • If Fidkeep decides to end the contract for a reason not attributable to the Customer or to permanently discontinue the Service, it gives at least 30 days' notice and refunds the unused part of the prepaid fee pro rata.
  • On termination of the contract or closure of the account, access to the Service ends. Within 30 days of account closure, the Customer may request an export of its data by writing to [email protected]. Account and workspace data, synced Google review and reply data and AI drafts are deleted or anonymised within 90 days of account closure at the latest. Google OAuth tokens are deleted when the account is closed.
  • Records that must be kept by law, such as invoice, payment and accounting records, are kept for their statutory periods. Backups are overwritten within 30 days at the latest. The full list of retention periods is in the Privacy Policy.
  • Provisions that by their nature should survive termination (including those on unpaid fees, refunds, liability and disputes) remain in force.

18. Liability

The parties' liability is governed by the Terms of Service. In summary, Fidkeep's total liability is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the damage. Fidkeep is not liable for indirect damages, lost profits or loss of data beyond its obligation to restore from backups. These limitations do not apply in cases of gross negligence or intent (Article 115 of Turkish Code of Obligations No. 6098) or where the law prohibits limitation.

Fidkeep is not liable for delays or interruptions originating in the systems of the card issuer, iyzico or Google. Force majeure is governed by the Terms of Service.

19. Notices

Notices from Fidkeep to the Customer are sent to the account e-mail address and are deemed given when sent. The Customer sends its notices to [email protected]. Formal notices such as notices of default or termination are made to Fidkeep's KEP address ([email protected]) in accordance with Article 18(3) of Turkish Commercial Code No. 6102.

20. Governing law and disputes

These Subscription Terms are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Gaziantep have exclusive jurisdiction over disputes. Under Article 193 of Code of Civil Procedure No. 6100, Fidkeep's electronic records, system logs and e-mail records constitute conclusive evidence unless proven otherwise. Details are set out in the Terms of Service.

21. Changes and entry into force

  • Fidkeep announces material changes to these Subscription Terms by e-mail and in-app notice at least 30 days before they take effect. A Customer that does not accept a change may terminate the contract before the change takes effect. Section 14 applies to price changes.
  • These Subscription Terms apply from the effective date shown on this page and govern orders placed and renewals made after that date.
  • The Turkish text of these Subscription Terms is binding. The English translation is provided for information; in case of conflict, the Turkish text prevails.
